1.1 Adoption. This Charter and Governance Framework, referred to as this “Charter,” establishes the governance structure, operational authority, treasury controls, node participation and voting rights, proposal and voting procedures, amendment process, and related rules for the Novus Forward Foundation and the Novus Network. Upon ratification by Node Owners, this Charter becomes the controlling governance instrument of the Novus ecosystem.
1.2 Purpose of this Charter. This Charter serves as the governing instrument for the Novus Network. It is not a marketing document, white paper, pitch deck, or general educational overview. Its purpose is to provide clear, enforceable, and technically accurate rules for operating and governing the Novus ecosystem.
1.3 Supremacy. If this Charter conflicts with any white paper, lite paper, technical paper, policy, procedure, operating agreement, service provider agreement, code of conduct, treasury policy, application guideline, public communication, website statement, or other document relating to the Novus Network, this Charter controls unless it expressly provides otherwise.
1.4 Supporting Documents. The Foundation may adopt supporting documents, including without limitation an operating agreement, treasury policy, technical architecture specifications, proposal templates, a code of conduct, dispute resolution procedures, and service provider guidelines. No supporting document amends, supersedes, or conflicts with this Charter unless adopted as a formal amendment under Article 18.
1.5 Interpretive Standard. This Charter shall be interpreted to reduce ambiguity, preserve decentralized governance, protect the integrity of the Novus Network, and maintain technical consistency across the ecosystem. Errors, omissions, inconsistencies, or undefined terms shall not be read to expand the authority of any person, entity, board, service provider, developer, validator, Node Owner, or other participant beyond the authority expressly granted in this Charter.
1.6 Ratification and Effective Date. This Charter is proposed for ratification by Node Owners through the governance process described herein. It takes effect on the date ratification is confirmed and recorded on-chain. Until ratified, it has the status of a proposed draft and confers no binding authority.
